The Newsroom: Marvell's $115B Deal, Apple and Palantir Earnings, Anthropic IPO Calendar & Startup Funding

EXECUTIVE BRIEF

Marvell announced on November 2 an agreement to acquire Lumentum in an all-stock deal that the companies value at about $115 billion, including debt. It follows an October 28 Bloomberg report of talks, after which Marvell shares fell by as much as 14%. The deal is a bet that optical interconnect is now as central to AI data centers as the chips themselves.

Apple and Palantir report after the US close on November 2; this edition went out before either result. Anthropic's IPO timeline is also moving in the reports: one newsletter citing IFR now puts the roadshow the week of November 9 and a debut around November 20, earlier than the week-of-November-16 pricing in last week's coverage. Neither is confirmed by the company.

Editorial Note: prepared on the US evening of November 2. Announcements, company claims, press reports, analyst estimates, and the author's analysis (The CODEW) are labeled separately.

Semiconductors & M&A: Marvell to Acquire Lumentum

SEMICONDUCTOR INTELLIGENCE

Dates: Talks reported October 28; deal announced November 2, 2026

Marvell Technology announced an agreement to acquire Lumentum, a maker of lasers, optical transceivers and optical switches. According to a secondary report of the announcement, Lumentum shareholders receive 4.5 Marvell shares per Lumentum share, the implied enterprise value is about $115 billion including debt, and Marvell holders would own about 67% of the combined company. The companies are said to cite more than $1 billion in annual run-rate cost synergies and a combined addressable market of about $550 billion. Both boards approved the deal, and Marvell CEO Matt Murphy is expected to stay on as chairman and CEO.

Lumentum's own communication filed with the SEC says only that the transaction is expected to close in approximately 12 to 18 months, subject to shareholder and regulatory approvals; it does not give the exchange ratio or values. The secondary report puts closing in the first half of 2028, which is later than that range, so the timing should be treated as unresolved until the S-4 is filed. Before the announcement, Bloomberg reported Lumentum was worth about $85 billion and Marvell about $196 billion; Marvell fell as much as 14%, and Lumentum rose as much as 7% on October 29. Analysts quoted by TechNews cited the premium, near-term EPS dilution, customer concerns, and review by US and Chinese regulators as risks.

Confirmed: Marvell and Lumentum have agreed to a transaction, expected to close in roughly 12–18 months subject to approvals (Lumentum SEC filing).

Company claim (via secondary): Exchange ratio, ~$115B enterprise value, 67/33 ownership, more than $1B synergies and a ~$550B market; none was verified against a primary release.

Reported: Bloomberg's October 28 report of talks and the October 29 share moves; Nvidia's earlier $2B investment in Lumentum.

Not established: Dollar value per Lumentum share, termination fee, financing and the regulatory outcome, especially in China.

The CODEW analysis: Photonics is moving from supplier to strategic asset. The size, and Marvell's 14% drop on the rumor, show how much execution and dilution risk investors are attaching to the AI interconnect thesis.

AI WATCH

Dates: November 2, 2026 | Items come from a market newsletter and were not confirmed against primary pages

A November 2 market newsletter reports, citing IFR, that Anthropic's IPO roadshow could start the week of November 9, with a possible raise of $75 billion to $100 billion and a debut around November 20; Q3 financials are still to come. This conflicts with last week's week-of-November-16 pricing reports and with earlier raise-size ranges. The same newsletter cites CNBC on S-1 figures, including sales growth of 1,300% and an $80 billion net loss in the first half; those figures were not checked against the filing and are not used further here.

Reported: Roadshow and debut timing, raise size (IFR, via newsletter).

Not established: Any on-record timing or price range; the S-1 financial figures cited by CNBC.

The CODEW analysis: Timeline reports have shifted within a week, so treat any date as provisional until an amended S-1 with a price range appears.

Earnings Night: Apple and Palantir

EARNINGS

Per previews cited earlier, Apple's consensus is about $113 billion of revenue with attention on memory-driven margin pressure against its 47% to 48% gross margin guide; Palantir guided to $2.160 billion to $2.164 billion of revenue, with consensus near $2.18 billion and conflicting EPS estimates of $0.33 and about $0.41. Check both companies' releases before publishing.

WHY IT MATTERS · THE CODEW ANALYSIS. Marvell's offer treats optics as the next bottleneck in AI infrastructure, after compute and memory. Investors' first reaction to the reported talks was negative, which tells you the market wants proof that scale buys margin, not just more addressable market.

Tonight's Apple and Palantir results, and a possibly accelerating Anthropic IPO, put the AI trade through two tests in one week: whether costs and valuations hold, and whether public markets can absorb very large listings.
