Thoma Bravo Announces $2 Billion Acquisition of Software Provider Verint, Enhancing CX Automation Portfolio

Thoma Bravo, a leading US-based private equity firm with a long history of investing in software technology, has announced an agreement to acquire Verint Systems Inc., a global provider of contact center and customer engagement solutions. The strategic deal, valued at approximately $2 billion (including debt), underscores Thoma Bravo’s strategic push into the fast-growing customer experience (CX) automation market. Shareholders will receive $20.50 per share, representing around an 18% premium.

According to Reuters, the latest deal involves a reverse-triangular merger and is expected to close by the end of Verint’s current fiscal year, pending regulatory and shareholder approval. As part of the deal, Verint will be merged with Calabrio, another Thoma Bravo portfolio company that provides workforce engagement management (WEM) solutions, creating a more comprehensive, AI-powered CX automation platform.

By bringing Verint into its vast CX portfolio, Thoma Bravo aims to leverage the company’s advanced AI-driven analytics and automation capabilities to accelerate growth opportunities in the $50 billion CX sector. The acquisition reflects Thoma Bravo’s proven strategy of acquiring high-potential technology companies and scaling them through operational and market expansion.

For Verint, the deal provides not just financial backing but also the strategic support of one of the most prominent names in private equity. The partnership is expected to help Verint accelerate its transition to cloud-based platforms, expand its global reach, and shorten product development cycles.
